MGT-7 and MGT-7A
The annual return a company files with MCA, giving details of shareholders, directors and meetings.
In short
It is due within 60 days of the AGM. Small companies and one person companies file the shorter MGT-7A.
What it means
MGT-7 is the annual return every company files with the Registrar of Companies (ROC) under section 92 of the Companies Act, 2013. It gives a snapshot of the company as at the year end: registered office, share capital, shareholders, directors and key managerial personnel, meetings held, and remuneration. MGT-7A is a shorter version for small companies and one person companies (OPCs).
How it works
Due date: within 60 days of the Annual General Meeting (AGM). If no AGM is held, within 60 days of the date by which it should have been held.
Since most companies hold the AGM by 30 September, MGT-7 is usually due by 29 November.
A small company now means one with paid-up capital up to ₹10 crore and turnover up to ₹100 crore (limits raised by MCA from 1 December 2025). Holding, subsidiary and certain other companies cannot be small companies.
Listed companies and companies with paid-up capital of ₹10 crore or more, or turnover of ₹50 crore or more, need the return certified by a practising company secretary in Form MGT-8.
Late filing: additional fee of ₹100 per day with no cap. Penalties under section 92 may also apply to the company and its officers.
Example
A private company with paid-up capital of ₹5,00,000 and turnover of ₹3 crore holds its AGM on 30 September 2026.
It qualifies as a small company, so it files MGT-7A instead of MGT-7.
Due date: 30 September 2026 plus 60 days = 29 November 2026.
If it files on 8 January 2027, the delay is 40 days. Additional fee: 40 x ₹100 = ₹4,000, plus the normal fee.
Its financial statements in AOC-4 are due separately within 30 days of the AGM, that is by 30 October 2026.
Key points to remember
MGT-7 and AOC-4 are two different filings; filing one does not cover the other.
Shareholding data must match the register of members and share allotment filings.
Directors of a company that fails to file returns for three continuous years can be disqualified.
Check small company status every year, since the test depends on the latest capital and turnover.
