How ROC late fees work for companies

AOC-4 and MGT-7 (including AOC-4 XBRL, AOC-4 CFS and MGT-7A) attract an additional fee of ₹100 for every day of delay, with no upper limit. This is paid on top of the normal filing fee, which depends on the company’s nominal share capital and ranges from ₹200 to ₹600.

Most other company e-forms use a slab: 2 times the normal fee for a delay of up to 30 days, 4 times for 31 to 60 days, 6 times for 61 to 90 days, 10 times for 91 to 180 days and 12 times beyond 180 days. ADT-1 and DIR-3C get an extra band of 1 time for the first 15 days. A second late INC-22 or PAS-3 within 365 days attracts a higher fee of 3 to 18 times. A late DIR-3 KYC costs a flat ₹5,000.

How LLP late fees work

Since 1 April 2022, Form 8 and Form 11 no longer carry a flat ₹100 a day. The additional fee is a multiple of the normal fee, which is ₹50 to ₹600 depending on contribution. For a small LLP it runs from 1 time (up to 15 days) to 15 times (181 to 360 days), then ₹10 for every further day. For other LLPs it runs from 1 time to 30 times, then ₹20 a day. Other LLP forms go up to 25 times for a small LLP, or 50 times for others, beyond 360 days.

Frequently asked questions

Is there a cap on the AOC-4 and MGT-7 late fee?

No. The ₹100 per day keeps running until the form is filed, so a form filed a year late costs over ₹36,000 in additional fees alone.

Is the additional fee the only consequence of filing late?

No. The additional fee only lets the MCA portal accept the form. Separate penalties under the Companies Act or the LLP Act can still apply to the company or LLP and its officers or partners.

Can I still use the CCFS-2026 scheme?

No. The Companies Compliance Facilitation Scheme, 2026, which let companies file pending annual forms by paying 10% of the additional fee, closed on 15 September 2026.
