What an LLP is and who should choose it
An LLP is a body corporate under the Limited Liability Partnership Act, 2008. It combines a partnership's flexibility with limited liability. Partners are not personally liable for the LLP's debts beyond their agreed contribution, except in cases of fraud or wrongful acts, and the LLP continues regardless of changes in partners.
LLPs suit professional practices, family businesses and trading or service firms that want limited liability without the board meetings, share structure and heavier compliance of a company. Statutory audit is required only above the turnover and contribution limits set in the LLP rules. An LLP is less suitable if you plan to raise equity from venture investors, who usually prefer a private limited company.
Step-by-step process and documents
First, Digital Signature Certificates are obtained for the proposed designated partners. Next, the name is reserved through the RUN-LLP service or applied for directly within FiLLiP. The FiLLiP form then covers incorporation, DIN allotment for up to the permitted number of designated partners, and PAN and TAN applications.
You need identity and address proof and photographs of every partner, proof of the registered office with an NOC from the owner, and the consent of the designated partners. After the Certificate of Incorporation is issued, the LLP agreement, setting out capital contribution, profit-sharing ratio, duties, admission and retirement, is executed on stamp paper and filed in Form 3 within 30 days. Late filing attracts additional fees.
Setting up an LLP in Surat
Many Surat businesses have traditionally run as partnership firms: textile trading houses, weaving and processing units, diamond firms and contractors. Converting to an LLP, or starting new ventures as LLPs, gives partners limited liability while keeping a familiar profit-sharing structure. An existing registered partnership firm can convert to an LLP using the prescribed conversion form, and tax neutrality on conversion depends on meeting specified conditions.
LLPs registered in Gujarat fall under the Registrar of Companies, Ahmedabad. Stamp duty on the LLP agreement follows the Gujarat Stamp Act, so it is worth checking the applicable duty when the agreement is drafted. Arranging GST registration and a current account at the same time avoids delays in starting operations.
Why work with Finaccle's Surat office
We do more than file forms. Our team drafts an LLP agreement that reflects how your partners actually work: contribution, drawings, interest on capital, remuneration within income tax limits, admission and exit of partners, and dispute resolution. A Chartered Accountant reviews the agreement and the FiLLiP filing before submission.
After incorporation, we can handle GST registration, bookkeeping, Form 8 and Form 11 annual filings and the income tax return, so compliance runs from one place. Our Surat office is at Rajhans Skylar, Udhana-Magdalla Road, and the whole process can also be done digitally. Call +91 78788 77748 to begin.
LLP Registration in Surat: FAQs
What is the minimum number of partners for an LLP in Surat?
An LLP needs at least two partners, and at least two of them must be designated partners who are individuals. At least one designated partner must be resident in India, meaning they stayed in India for 120 days or more in the previous financial year. There is no upper limit on the number of partners in an LLP.
Is there a minimum capital contribution for an LLP?
No. The law does not prescribe a minimum contribution, so partners can agree any amount suited to the business. The contribution can be in cash, property or other agreed forms, and must be recorded in the LLP agreement. The total contribution affects the MCA filing fees and also matters when deciding whether a statutory audit is required.
Which annual filings does an LLP have to make?
Every LLP files Form 11, the annual return with partner details, and Form 8, the Statement of Account and Solvency, with the Registrar every year, along with its income tax return. Designated partners must also complete their DIN KYC. A tax audit or statutory audit applies if the LLP crosses the relevant limits. Late MCA filings attract additional fees that build up daily.
Can my existing Surat partnership firm become an LLP?
Yes. A registered partnership firm can convert into an LLP by filing the prescribed conversion form with consent from all partners and a statement of assets and liabilities. All the firm's partners become partners of the LLP. Before converting, plan for GST registration changes, bank accounts, licences and the conditions for tax-neutral conversion under income tax law.
