What an LLP is and who it suits
A limited liability partnership combines the flexibility of a partnership with the limited liability of a company. It is a separate legal entity under the LLP Act, 2008, partners are not personally liable for each other's misconduct, and internal management is governed by the LLP agreement rather than a detailed statute.
LLPs suit professional and advisory practices, consultancies, family businesses and small trading or service firms that want limited liability without the board meetings and audit requirements that apply to every company. An LLP's accounts need audit only above prescribed contribution or turnover limits. It is less suitable where equity funding from investors is planned, as most investors prefer a private limited company.
Registration steps and documents
We obtain digital signatures for the designated partners and reserve the name through RUN-LLP or directly in FiLLiP. The FiLLiP form captures partner details, contribution, registered office and business activity, and allots DPINs to partners who do not hold one.
After incorporation, we draft the LLP agreement covering capital contribution, profit-sharing ratio, duties of partners, admission and exit, and dispute resolution, and file it in Form 3 within 30 days. Stamp duty on the agreement is payable as per the state of the registered office. Documents usually needed: PAN and Aadhaar of partners, photographs, address proof, and for the office a utility bill with owner NOC or rent agreement.
LLP formation in Delhi NCR
An LLP with its registered office in Delhi falls under the RoC Delhi & Haryana for its annual Form 8 and Form 11 filings and any later changes. Delhi stamp duty applies to the LLP agreement, which is executed and stamped in Delhi when the registered office is here.
The structure is popular with the many chartered accountants, architects, legal and management consultants, and boutique agencies that practise in Delhi, as well as with family-run distribution and trading businesses that want to formalise ownership among relatives. Where partners work from Gurugram or Noida, the LLP can still be registered in Delhi, but each state of operation will need its own GST registration once the threshold applies.
Why form your LLP with Finaccle's Delhi office
The LLP agreement is the most important document in the process, and it is often filed using a generic template that later causes disputes on profit-sharing or exit. We draft it around your actual arrangement after discussing it with the partners, and a Chartered Accountant reviews the agreement and filings before submission.
The process is digital, with optional meetings at our Aerocity office. Because Finaccle also handles accounting and tax, we explain how the LLP will be taxed, what the annual Form 8 and Form 11 involve, and when audit becomes applicable, so partners understand the commitment from the start. We do not promise approval timelines, which depend on the Registrar.
LLP Registration in Delhi: FAQs
How many partners are needed to register an LLP in Delhi?
At least two partners are required, and at least two of them must be designated partners, of whom one must be resident in India. Partners can be individuals or bodies corporate, with a body corporate acting through a nominee. There is no maximum number of partners for an LLP.
Is there a minimum capital requirement for an LLP?
There is no prescribed minimum contribution. Partners agree the contribution amount, which may be in cash or in kind, and record it in the incorporation form and the LLP agreement. The contribution affects stamp duty on the agreement and the fee payable, so it should be decided realistically.

Can a partnership firm in Delhi be converted into an LLP?
Yes. A registered partnership firm can convert into an LLP by filing the prescribed conversion form with consent of all partners, provided all partners of the firm become partners of the LLP. Assets, liabilities and contracts transfer to the LLP. Tax consequences should be reviewed before converting.
