What an LLP offers and who it suits
A limited liability partnership combines the flexibility of a partnership with limited liability for its partners. It is a separate legal entity under the LLP Act, 2008, so partners are generally not personally liable for its debts, except in cases such as fraud.
An LLP has lighter compliance than a company. There is no requirement for board meetings or a mandatory statutory audit until turnover or contribution crosses the prescribed limits.
The structure suits professional practices, consulting firms, agencies, family businesses and joint ventures between individuals who want to share profits flexibly and do not plan to raise equity from venture investors.
Registration process and documents
First, Digital Signature Certificates are obtained for the proposed designated partners. A name is reserved through RUN-LLP, or the name and incorporation can be combined in FiLLiP.
The FiLLiP form contains details of the partners, their contribution, the registered office and the LLP's business. Designated partners without a DPIN obtain one through the same form.
Documents include PAN and Aadhaar of partners, passport for foreign nationals, address proof, photographs, and for the registered office, a rent agreement or ownership proof, utility bill and owner's NOC. Once incorporated, the LLP agreement is drafted, stamped and filed in Form 3, and PAN and TAN are issued.
Setting up an LLP in Mumbai
Once incorporated, an LLP with its registered office in Maharashtra falls under the Registrar of Companies, Mumbai, for ongoing filings.
The LLP agreement must be executed on stamp paper as required under the Maharashtra Stamp Act, and the stamp duty depends on the capital contribution. Getting this right at the start avoids issues later when the agreement is produced before banks or authorities.
Mumbai's chartered accountants, architects, advertising and creative agencies, and trading businesses often choose the LLP form. Professional firms should check whether their regulatory body permits practice through an LLP and on what terms before choosing this structure.
Why register your LLP with Finaccle
The LLP agreement is the most important document in an LLP, governing profit sharing, capital, admission and exit of partners, and dispute resolution. We draft it around how your partners actually intend to work together, rather than using a generic template.
The entire process is handled online with CA and Company Secretary supervision from our Andheri West office.
After registration, we can manage the LLP's annual compliance, including Form 11 and Form 8 filings with the RoC, income tax returns, GST and bookkeeping. This is important because LLP late filing fees accrue per day, and missed filings add up quickly.
LLP Registration in Mumbai: FAQs
How many partners are needed to register an LLP in Mumbai?
An LLP needs at least two partners, and at least two of them must be individuals acting as designated partners. One designated partner must be resident in India. There is no maximum limit on the number of partners. A company or another LLP can also be a partner, acting through a nominee individual.
Is there a minimum capital requirement for an LLP?
No. The law does not prescribe a minimum capital contribution, so partners can decide the amount based on business needs. The contribution can be in cash or in kind, such as property or services, valued as agreed. Bear in mind that stamp duty on the LLP agreement in Maharashtra is linked to the contribution amount.
What annual filings does an LLP have?
Every LLP files Form 11, the annual return, by 30 May and Form 8, the statement of account and solvency, by 30 October each year with the Registrar. It must also file an income tax return. A tax audit, statutory audit and GST returns apply depending on turnover, contribution and registration status.
Should I choose an LLP or a private limited company?
Choose an LLP if you want flexible profit sharing, lower compliance and do not plan to raise equity from investors. Choose a private limited company if you expect to raise venture funding, issue ESOPs, or need the credibility that corporate clients or lenders sometimes attach to companies. Tax treatment also differs and should be compared for your situation.
