What SME IPO advisory involves and who it suits
An SME IPO lets a growing company raise equity from the public and list on a dedicated SME exchange platform. Advisory work starts well before the merchant banker is appointed. It covers assessing eligibility, cleaning up the balance sheet, regularising related-party transactions, strengthening internal controls, and setting up the board and committee structure a listed company needs.
It suits profitable, promoter-led companies with a clear use for the funds, such as capacity expansion, working capital or debt reduction. SEBI tightened the SME IPO framework in 2025, including a requirement for operating profit of at least Rs 1 crore in two of the three preceding financial years. Exchanges also apply their own criteria, so readiness has to be judged carefully.
The IPO readiness process
We begin with a readiness diagnostic. This covers the corporate structure, three years of audited financials, tax and GST compliance status, pending litigation, statutory registers, and the promoter group's holdings. Gaps are listed with a remediation plan and timeline.
The typical sequence is converting a private company to a public limited company, reconstituting the board with independent directors and forming the required committees, and appointing a peer-reviewed auditor for restated financials. This is followed by appointing the merchant banker, legal counsel and registrar, preparing the draft offer document, getting exchange approval, and filing with the RoC. We support the financial due diligence, restated financials data, working capital justification and the objects of the issue throughout.
SME listings and Surat businesses
Surat has a strong base of mid-sized manufacturers in textiles, yarn and fabric processing, chemicals and dyes, engineering, and diamond and jewellery, and many of these are profitable, family-owned companies. For such businesses, an SME listing can provide growth capital, a market value for the promoters' holding and a stronger profile with lenders and customers.
It also brings continuous obligations, including periodic financial results, disclosures under SEBI's listing regulations, insider trading controls and public scrutiny. Gujarat companies deal with the RoC Ahmedabad for conversion and filings. We help promoters weigh these obligations against the benefits before committing, and plan the governance changes in stages.

SME IPO Advisory in Surat: FAQs
What are the profitability requirements for an SME IPO?
Under SEBI's amended framework, an SME issuer must have an operating profit (EBITDA) of at least Rs 1 crore from operations in at least two of the three financial years before filing its draft offer document. BSE SME and NSE Emerge add their own eligibility criteria on track record, net worth and other parameters, so check both before planning.
Does my company need to be a public limited company to list?
Yes. Only public companies can offer shares to the public, so a private limited company must convert to a public limited company before filing its offer document. Conversion involves altering the articles and name, meeting the minimum director requirements for public companies and filing with the RoC. It is usually one of the first steps in the readiness plan.
Is Finaccle the merchant banker for my IPO?
No. Every SME IPO must be managed by a SEBI-registered merchant banker. Finaccle works as the company's finance and compliance adviser. We prepare the company for listing, support the financial and tax due diligence, coordinate data for restated financials, and work alongside the merchant banker, legal counsel, auditors and registrar on the promoters' side.
How long does it take to prepare for an SME IPO?
It depends on how ready the company already is. A company with clean audited accounts, regular tax compliance and a simple structure needs much less preparation than one with related-party tangles, pending tax matters or gaps in its records. The readiness diagnostic sets out a realistic plan. Market conditions and regulatory reviews also affect the timing.
