SME IPO Advisory in Mumbai

Taking an SME to IPO from Mumbai involves checking eligibility under SEBI's ICDR Regulations and the exchange's criteria, getting financial statements and corporate records listing-ready, appointing a SEBI-registered merchant banker, and filing a draft offer document with BSE SME or NSE Emerge. Finaccle advises on readiness, restated financials, governance and compliance clean-up, and works alongside the merchant banker and other intermediaries through the process.

What SME IPO advisory covers and who it is for

An SME IPO lets a smaller company raise equity from the public through a dedicated stock exchange platform, with eligibility conditions and disclosure requirements set by SEBI and the exchange.

Advisory work covers assessing whether the company meets eligibility criteria, identifying gaps in financial reporting, tax and corporate compliance, restructuring where needed, and preparing for the scrutiny that a listing brings.

It suits profitable, growing businesses that want to fund expansion, provide liquidity to existing shareholders within limits, or improve their visibility with customers and lenders. Promoters should be prepared for continuous disclosure obligations and public market scrutiny after listing.

The road to listing, step by step

Readiness starts with a review of financial statements, tax filings, statutory registers and corporate structure. Where a private company is the listing vehicle, it must first be converted into a public limited company.

The board is reconstituted with independent directors and committees, and policies required for listed companies are adopted. Financial statements are restated by a peer-reviewed auditor for inclusion in the offer document.

A SEBI-registered merchant banker is appointed to lead the issue. The draft red herring prospectus is filed with the exchange, observations are addressed, and the issue is marketed and opened. After allotment, shares are listed, and ongoing listing compliance begins.

Why Mumbai matters for SME listings

Both SME platforms in India, BSE SME and NSE Emerge, are run by exchanges headquartered in Mumbai, and SEBI's head office is in the city at Bandra Kurla Complex. Many of the merchant bankers, registrars, market makers and legal advisers active in SME issues are also based here.

This makes Mumbai a practical base for coordinating the many parties involved in an issue.

SEBI tightened SME IPO norms in 2025. Among the changes, companies must show operating profit (EBITDA) of at least ₹1 crore in two of the three preceding financial years, and the offer for sale portion is capped at 20% of the issue size. Exchange-specific criteria apply in addition.

Why plan your SME IPO with Finaccle

Most delays in SME IPOs come from issues found late: unreconciled tax data, gaps in RoC filings, related party transactions without approvals, or accounting policies that change between years. Finaccle's team of Chartered Accountants and a Company Secretary identifies these early and helps fix them before the merchant banker begins due diligence.

We are not a merchant banker and do not underwrite or manage the issue. Our role is to make the company listing-ready and support the intermediaries with reliable financial and compliance information.

We work from our Mumbai office in Andheri West, close to the city's capital markets ecosystem, and do not promise listing outcomes.

SME IPO Advisory in Mumbai: FAQs

Is my company eligible for an SME IPO?

Eligibility depends on SEBI's ICDR Regulations and the chosen exchange's criteria. Under the 2025 amendments, the company must have operating profit (EBITDA) of at least ₹1 crore in any two of the three previous financial years. Exchanges add conditions on track record, net worth and other parameters. We review your financials against the current criteria before you approach a merchant banker.

What is the difference between BSE SME and NSE Emerge?

Both are dedicated platforms for listing small and medium enterprises, run by BSE and NSE respectively, and both are headquartered in Mumbai. Each exchange sets its own eligibility criteria and processes in addition to SEBI's rules. The choice usually depends on which criteria the company meets and the merchant banker's advice on the issue.

Does an SME IPO need a merchant banker?

Yes. A SEBI-registered merchant banker must manage the issue, carry out due diligence, prepare the offer document and coordinate with the exchange. Other intermediaries include a registrar to the issue, a peer-reviewed auditor, legal counsel and a market maker. Finaccle works alongside these parties on readiness and compliance and does not act as merchant banker.

How should a company prepare before approaching a merchant banker?

Start with clean, audited financial statements for the relevant years, up-to-date RoC filings and statutory registers, reconciled income tax and GST records, and documented approvals for related party transactions. Review shareholder agreements and the cap table. A company that resolves these gaps first has a smoother due diligence process and fewer surprises.
