What incorporation involves and who should choose it
A private limited company is a separate legal entity under the Companies Act, 2013. It needs at least two directors and two shareholders (the same people can hold both roles), and at least one director must be resident in India. Shareholders' liability is limited to their unpaid share capital.
This structure suits founders planning to raise equity from angel investors or venture funds, businesses bidding for corporate or institutional contracts that prefer a company counterparty, and promoters who want ownership to be transferable through shares. It carries more compliance than a proprietorship or LLP, including statutory audit and annual RoC filings, so it is worth choosing deliberately rather than by default.
Step-by-step process and documents required
The process runs on the MCA V3 portal. First, we check name availability and reserve it through SPICe+ Part A. Next, we prepare Part B along with the e-MOA and e-AOA, the AGILE-PRO-S form (which covers GSTIN, EPFO, ESIC and bank account linkage) and INC-9 declarations. Directors without a DIN have it allotted within the same form, and digital signatures are obtained for all signatories.
Typical documents: PAN and Aadhaar of each director and shareholder, a recent photograph, address proof such as a bank statement or utility bill, and for the registered office a utility bill plus a no-objection letter from the owner or a rent agreement. Foreign nationals need apostilled or notarised identity and address documents.
Incorporating a company in Delhi NCR
A company whose registered office is in the National Capital Territory of Delhi is administered by the Registrar of Companies, Delhi & Haryana. Many NCR founders operate from Gurugram or Noida but keep the registered office in Delhi, or the other way round; the registered office decides both the RoC and the stamp duty payable on the MOA and AOA, so the address should be chosen before filing.
Co-working addresses such as those in Aerocity, Connaught Place or Nehru Place are commonly used as registered offices, provided the operator issues a valid NOC and utility proof. If the company will also operate from Haryana or Uttar Pradesh, separate state GST registrations will be needed alongside incorporation.
Why founders use Finaccle's Delhi office
Our Delhi team works from WeWork Worldmark 6 in Aerocity, so founders across South Delhi, Dwarka and Gurugram can meet us in person if they prefer, though the entire process can be completed digitally. Every application is prepared by our team and reviewed by a Chartered Accountant before it is submitted, which reduces the risk of resubmission remarks from the CRC.
Because Finaccle also handles accounting, GST and annual compliance, we draft the MOA objects and capital structure with your post-incorporation obligations in mind, not just the filing. You receive a clear checklist of the first-year compliances, such as auditor appointment and commencement of business declaration, once the company is registered.
Private Limited Company Registration in Delhi: FAQs
Can my Delhi company have its registered office at a co-working space?
Yes. A co-working address can be the registered office if the operator provides a no-objection certificate and a recent utility bill or equivalent address proof. The space must be able to receive official communication from the RoC Delhi & Haryana. Check that your agreement allows registered-office use, since some plans permit only desk usage.
Do I need to be present in Delhi to register the company?
No. Incorporation is filed online on the MCA portal, and directors sign with digital signature certificates, so no physical visit to the RoC is required. Directors living in other cities or abroad can participate, provided at least one director is resident in India and identity documents are in the required format.
Which RoC handles a private limited company registered in Delhi?
Companies with a registered office in Delhi fall under the Registrar of Companies, Delhi & Haryana. Incorporation itself is processed centrally by the Central Registration Centre, but post-incorporation matters such as annual filings, charge registration and change of registered office are dealt with by the Delhi & Haryana RoC.
What do I need to do after the company is incorporated?
After incorporation, the company should open its bank account, appoint its first auditor within 30 days, and file the commencement of business declaration (INC-20A) within 180 days. It must also maintain statutory registers, hold board meetings and register for GST where required. Finaccle provides a written post-incorporation compliance checklist.
